Who we are.
These Terms of Service (“Terms”) govern your access to and use of the websites, content, products, programs, memberships, courses, downloadable materials, and related services operated by TMHC Coaching & Consulting d/b/a The Mental Health Chick (together, “TMHC,” “we,” “us,” or “our”), including www.thementalhealthchick.com and any related mobile or desktop experiences (collectively, the “Site” and “Services”).

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy (collectively, the “Agreement”). If you do not agree, do not use the Services.


1) Eligibility & Accounts

  1. Age. You must be at least 18 years old (or the age of majority where you live, if higher) to use the Services. The Services are not directed to minors.

  2. Account Registration. Some features require an account. You agree to provide accurate information and keep it updated. You are responsible for all activities under your account and for safeguarding your password. Notify us immediately of any unauthorized use.

  3. Business Use. If you create or use an account on behalf of an entity, you represent that you have authority to bind that entity to this Agreement.


2) Health, Therapy, & Results Disclaimers

  1. No Therapy or Medical Care. TMHC provides coaching, educational information, and self-development resources. We do not provide psychotherapy, clinical counseling, diagnosis, treatment, medical care, or crisis services through the Site. Nothing on the Site constitutes medical, psychological, legal, or financial advice, nor is it a substitute for care by licensed professionals.

  2. No Provider–Patient Relationship. Your use of the Services does not create a therapist-client, physician-patient, or other healthcare provider relationship with TMHC or its personnel.

  3. Emergency/Crisis. If you are in crisis or in danger, call 911 (or local emergency services) immediately. In the U.S., you may also call/text 988 for the Suicide & Crisis Lifeline.

  4. No Guarantees. Coaching and educational outcomes vary by individual. We do not guarantee results, business revenue, mental health outcomes, or specific achievements.


3) Purchases, Subscriptions, Payments & Taxes

  1. Paid Offerings. Certain Services (e.g., courses, memberships, coaching, digital products) require payment. Prices, features, and availability are described on the Site and may change from time to time.

  2. Payment Processors. We use third-party processors (e.g., Stripe, PayPal) to collect payments. Your payments are subject to their terms and privacy policies in addition to ours. We are not responsible for processor errors or outages.

  3. Billing & Recurring Charges. If you enroll in a subscription or installment plan, you authorize us and/or our processor to automatically charge your payment method at the listed intervals until you cancel per Section 4. You must keep your billing information current.

  4. Taxes. Prices may not include applicable taxes. You are responsible for all taxes, duties, and similar charges.

  5. Currency. Unless stated otherwise, charges are in U.S. Dollars (USD).

  6. Pricing Errors. We may correct pricing or billing errors at any time.


4) Cancellations, Refunds & Chargebacks

  1. Digital Products. Due to the instant and irrevocable nature of digital downloads, all sales of digital products are final once delivered or accessible—no refunds.

  2. Courses/Memberships. Unless a specific money-back guarantee is expressly stated on the product checkout page, fees for courses and memberships are non-refundable. You may cancel a subscription effective at the end of the current billing period via your account or by emailing info@thementalhealthchick.com at least 3 business days before renewal.

  3. Coaching Services. Once a coaching program has commenced and invoices have been paid, TMHC does not permit refunds or chargebacks for any reason. Rescheduling policies for sessions are set forth at booking and must be followed to avoid forfeiture.

  4. Chargebacks. You agree not to initiate chargebacks for Services delivered as described. Attempted chargebacks for Services provided under these Terms may be treated as breach of contract and fraud. We reserve the right to share documentation with the processor and to pursue recovery, including collection of fees, costs, and attorneys’ fees.

  5. Consumer Rights. If applicable law grants you non-waivable cancellation or refund rights, we will honor those rights.


5) Intellectual Property; License & Restrictions

  1. Our IP. The Services, including all content, materials, coursework, frameworks, videos, audio, images, text, logos, trademarks, trade dress, and compilations are owned by TMHC or our licensors and are protected by intellectual property laws.

  2. Limited License. Subject to your compliance with this Agreement and full payment of applicable fees, TMHC grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable license to access and use purchased or enrolled content for your individual, non-commercial use.

  3. Prohibited Uses. You may not copy, share, reproduce, distribute, republish, display, perform, post, upload, create derivative works from, sell, license, rent, or exploit the Services or content, in whole or in part, without our prior written consent. No content sharing or reselling inside or outside your organization unless a separate license permits it.

  4. Trademarks. “The Mental Health Chick,” “TMHC Coaching & Consulting,” our logos, and product names are trademarks or service marks of TMHC. Do not use our marks without prior written permission.


6) User Content & Acceptable Use

  1. User Content. If you post, upload, or submit content (e.g., comments, forum posts, testimonials), you grant TMHC a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, display, and create derivative works from such content in any media for operating, improving, and promoting the Services.

  2. Standards. You will not upload or share content that is unlawful, defamatory, harassing, discriminatory, obscene, pornographic, hateful, infringing, deceptive, or that includes private or sensitive information of others without consent.

  3. Security & Integrity. You will not interfere with the Services, attempt to bypass security, deploy malware, scrape, spider, harvest, or use automated means except as permitted by robots.txt.

  4. Removal. We may remove or disable access to any content or account at any time in our discretion, including for suspected violations of this Agreement or law.


7) Testimonials, Reviews, and Earnings/Results Disclosures

  1. Experiences Vary. Testimonials and case studies reflect individual experiences and are not guarantees of results. Your results depend on many factors, including your effort, background, resources, and market conditions.

  2. No Earnings Claims. Where business topics are discussed, we make no promises of income or specific outcomes.


8) Privacy; Cookies; Data Rights

  1. Privacy Policy. Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, disclose, and protect personal data and sets forth rights available under applicable law (including GDPR/UK GDPR where applicable).

  2. Cookies & Tracking. We use cookies and similar technologies as described in our Privacy Policy and cookie disclosures. Your browser may offer options to limit cookies.

  3. Communications. By providing contact information, you consent to receive transactional emails, account notices, and (if opted-in) marketing messages. You can opt out of marketing at any time.


9) Third-Party Services & Links

The Services may link to or integrate with third-party websites, platforms, or tools. We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms and privacy policies.


10) DMCA / Copyright Complaints

If you believe material on the Services infringes your copyright, send a written DMCA notice to the agent below including: (a) your physical/electronic signature; (b) identification of the copyrighted work; (c) identification of the infringing material and its location; (d) your contact information; (e) a statement of good-faith belief; and (f) a statement under penalty of perjury that the information is accurate and you are the copyright owner or authorized agent.

11) E-Sign Consent; Electronic Communications

You agree to transact electronically and to receive contracts, disclosures, and notices electronically. You may withdraw consent by contacting us, but doing so may limit your ability to use the Services.


12) Warranties & Disclaimers

THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, TMHC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.


13) Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TMHC, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, LOST PROFITS, LOST DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO TMHC FOR THE SERVICE(S) GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS PRECEDING THE EVENT OR (B) $500.
Some jurisdictions do not allow certain exclusions/limits; where they don’t, our liability will be limited to the maximum extent permitted.


14) Indemnification

You agree to defend, indemnify, and hold harmless TMHC and its owners, officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your breach of this Agreement; (c) your violation of law or third-party rights; or (d) your User Content.


15) Termination & Suspension

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you violated this Agreement or law. You may stop using the Services at any time. Sections that by their nature should survive termination (e.g., IP, disclaimers, limitations of liability, indemnity, arbitration) will survive.


16) Governing Law; Arbitration; Class Action Waiver (U.S.)

  1. Governing Law & Venue. This Agreement is governed by the laws of the State of Indiana, without regard to conflict-of-law rules. Subject to the arbitration requirement below, the exclusive venue for any action not subject to arbitration is the state or federal courts located in Allen County, Indiana, and you consent to personal jurisdiction there.

  2. Arbitration. You and TMHC agree that any dispute, claim, or controversy arising out of or relating to the Services or this Agreement (collectively, “Disputes”) will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in Allen County, Indiana (or by video/teleconference where permitted). Judgment on the award may be entered in any court of competent jurisdiction.

  3. Class Action Waiver. Disputes must be brought in your individual capacity only, and not as a plaintiff or class member in any purported class, collective, private attorney general, or representative proceeding. The arbitrator may not consolidate claims or preside over any class or representative proceeding.

  4. 30-Day Opt-Out. You may opt out of arbitration by emailing info@thementalhealthchick.com within 30 days of your first use of the Services with subject line “Arbitration Opt-Out,” and including your full name and address. If you opt out, the exclusive venue remains the courts in Allen County, Indiana.

  5. Small Claims. Either party may bring an individual action in small claims court within that court’s jurisdiction.

  6. Injunctive Relief. Notwithstanding the foregoing, either party may seek temporary or preliminary injunctive relief in court to protect IP or confidential information.
    If the class action waiver is found unenforceable as to a particular claim, that claim must proceed in court, and the remainder shall proceed in arbitration.


17) International Users

We operate from the United States. If you access the Services from outside the U.S., you are responsible for compliance with local laws and consent to the processing and transfer of your information as described in our Privacy Policy.


18) Force Majeure

We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including acts of God, labor disputes, internet failures, power outages, pandemics, governmental actions, or natural disasters.


19) Changes to the Services or These Terms

We may modify or discontinue the Services, and we may update these Terms from time to time. If we make material changes, we will post the updated Terms and update the “Last Updated” date. Your continued use after changes become effective constitutes acceptance.


20) Assignment

You may not assign or transfer this Agreement without our prior written consent. We may assign or transfer it without restriction, including as part of a merger, acquisition, or sale of assets.


21) Severability; Waiver; Entire Agreement; Headings

If any provision is held invalid or unenforceable, the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver. These Terms (together with the Privacy Policy and any order-specific terms) are the entire agreement between you and TMHC regarding the Services and supersede all prior agreements. Headings are for convenience only.


22) Notices

We may provide notices by posting to the Site, emailing the address in your account, or by other reasonable means. You may send legal notices to the Contact Information below.


Short Refunds & Chargeback Statement (for checkout pages)

All digital products are non-refundable. Courses and memberships renew until canceled; cancellations take effect at the end of the current billing period. Coaching fees are non-refundable once the program has commenced and invoices are paid. Chargebacks on delivered Services are prohibited.
